Tyler Adams

I represent for-profit and non-profit businesses through complex real estate and corporate transactions. That dual focus was initially shaped during my time as in-house counsel for a global architectural materials distributor, fabricator and installer, and affiliated real-estate investment company, and has contributed to a well-rounded knowledge base that clients highly value. My real estate work includes commercial real estate development, construction, financing (with a special focus on bond financing), acquisition and leasing. Often in conjunction with my real estate practice, I also assist clients with corporate structuring and formations, acquisitions and combinations, joint ventures and a variety of complex commercial transactions.

For me, practicing law is most rewarding when fully immersed. I strive to be a true partner to the client teams I serve – working to achieve outstanding results thorough an understanding of client business objectives, transaction risks and the desired balance to be struck between those points. Whether, assisting with an isolated transaction or serving as outside general counsel, I want us both to feel like I’m in the office down the hall, where I’m working hard to help realize your goals.

Representative Experience

  • Primary real estate counsel for a hospital system, engaged portfolio-wide in all development, acquisition, financing, construction, leasing and licensing transactions.

  • Borrower’s counsel for multiple private colleges and universities on revenue and refunding bond financing transactions.

  • Formation of joint ventures, including a seven-party joint venture among competitors, a joint venture for the development and international sale of products and a venture contemplating the development of mixed-use property.

  • Assisted a client with the exchange of existing office property for a condominium unit and RLS tract in a mixed-use development.

  • Purchase and sale of numerous businesses in a variety of industries, including through asset acquisitions, sock sales and mergers.

  • Preparation and negotiation of all documentation for the design and construction of a $73,000,000 university academic center.

  • Negotiate and document purchase and development contracts with municipal entities.

  • Represented a client in connection with the acquisition of multiple properties, followed by

  • ground leasing of the land to a third-party and the sale-leaseback of the improvements.

  • Borrower’s counsel for a hospital system in connection with a $290,000,000 hybrid taxable/tax-exempt bond financing transaction secured by a multi-property mortgage.

  • Advise clients on entity structuring and documentation for development projects.

  • Outside general counsel for a multi-faceted behavioral health company.

  • Represented an international company through all aspects of expansion into numerous facilities across the country, including site due diligence, acquisition, leasing and build.
